Terms & Conditions
www.nearu.community · Singapore · Version 2.0
1. About These Terms
These Website Terms of Use ("Terms") govern access to and use of www.nearu.community, including its pages, content, features, forms and links (collectively, the "Website"). The Website is operated by NearU Pte. Ltd. (UEN: 202550492M), a company incorporated in Singapore ("NearU", "we", "us" or "our").
By accessing or using the Website, you acknowledge that you have read and understood these Terms and agree to comply with them. If you do not agree, you must discontinue use of the Website.
2. About NearU
NearU operates a hyperlocal technology platform that helps neighbourhood merchants establish a digital storefront, become discoverable to nearby customers, manage products and offers, and build direct customer relationships through commerce, promotions and merchant-specific loyalty capabilities.
NearU's services are initially available in Singapore. The Website may be accessed from other countries, and NearU may introduce services in other countries or territories from time to time. Availability, features and applicable terms may differ by market and may be subject to additional country-specific terms.
3. Nature and Scope of the Website
The Website is NearU's public-facing information and access portal. It may provide information about NearU, its services, merchant onboarding, pricing, promotions and platform capabilities, and may provide access to the Merchant Portal and consumer application.
Consumer purchases are not ordinarily completed on the public Website. Consumer transactions and merchant operations are conducted through NearU's applications or portals and are governed by the applicable Consumer Terms of Use, Merchant & Seller Agreement, privacy policies and other published terms.
4. Merchant Portal and Subscription Services
Merchants may access or register for the NearU Merchant Portal through the Website. The Merchant Portal enables eligible merchants to apply to join NearU, submit business and verification information, manage their storefront and subscribe to NearU's services.
NearU's standard merchant subscription is currently S$30 per month. NearU may offer promotional arrangements, including discounted annual prepayment, introductory free periods, merchant-specific offers or other limited-time plans. The applicable price, eligibility criteria, promotional period, renewal terms and taxes will be disclosed before the merchant subscribes.
Payments for merchant subscriptions and use of the Merchant Portal are governed by the Merchant & Seller Agreement, the selected subscription plan and the terms displayed at the point of payment. If there is any conflict, those specific terms prevail over these Website Terms in relation to Merchant Portal services and subscription payments.
5. Eligibility and Authority
You may use the public Website only if you are legally capable of doing so. If you submit information or register on behalf of a business or another person, you represent that you have authority to act for and legally bind that business or person.
NearU may request evidence of identity, authority, business registration, licences, ownership, banking information or other verification documents as part of merchant registration or compliance review. Submission of an application does not guarantee acceptance onto the NearU platform.
6. Permitted Use
Subject to these Terms, you may:
- access and browse the Website for lawful informational or business purposes;
- submit genuine enquiries, merchant interest forms and registration information;
- access links to the Merchant Portal, consumer application and authorised third-party services; and
- share a normal link to a publicly accessible Website page, provided it is not misleading and does not imply NearU endorsement or affiliation.
7. Prohibited Use
You must not, and must not assist another person to:
- use the Website for any unlawful, fraudulent, deceptive, abusive or harmful purpose;
- submit false, inaccurate, misleading, incomplete or unauthorised information;
- impersonate another person or misrepresent your identity, authority or affiliation with NearU;
- introduce malware or other code intended to disrupt, damage or compromise the Website or connected systems;
- attempt to gain unauthorised access to accounts, portals, systems, source code, data or security controls;
- conduct vulnerability testing, penetration testing, scanning or security research without NearU's prior written authorisation;
- use bots, scrapers, crawlers or automated extraction tools to copy, index or harvest Website content or data without authorisation;
- interfere with Website availability, performance or another user's access;
- copy, modify, republish, distribute, sell, license or commercially exploit Website content except as expressly permitted; or
- use NearU's name, logo, trademarks or branding in a manner that suggests endorsement or affiliation without prior written permission.
8. Information and Materials You Submit
You are responsible for ensuring that information, documents, images, feedback, suggestions, messages or other materials submitted through the Website are accurate, lawful and authorised, and do not infringe any third-party rights.
You retain ownership of materials you submit. You grant NearU a non-exclusive, worldwide, royalty-free licence to receive, store, copy, review and use those materials to process your enquiry or application, verify eligibility, provide services, operate and secure the platform, comply with law and maintain appropriate business records.
Do not submit information that NearU has not requested, or confidential or highly sensitive information belonging to another person, unless you are authorised to do so and it is necessary for the relevant registration or service.
9. Intellectual Property
The Website and its content, including its software, design, layout, text, graphics, logos, icons, images, videos, databases and compilation, are owned by or licensed to NearU and are protected by applicable intellectual-property laws.
Merchant names, logos, product images and other third-party materials remain the property of their respective owners. Their display on the Website does not grant you any licence or right to use them.
You may print or download a reasonable extract of publicly available Website content solely for personal or internal business evaluation. You must not alter the content, remove proprietary notices or use it commercially without NearU's prior written consent.
10. Website Information and No Reliance
NearU aims to keep Website information useful and reasonably current, but the Website may contain errors, omissions, outdated information or descriptions of services that are still under development.
Descriptions of planned features, launch timelines, geographic expansion, pricing, promotions or platform capabilities may change. Unless expressly stated in a binding agreement, Website content does not constitute a guarantee, professional advice, binding offer or commitment that a feature or service will be available at a particular time.
NearU may correct errors and update, withdraw or replace Website content without prior notice.
11. Promotions and Offers
NearU may advertise subscription discounts, annual-payment offers, free introductory periods, referral benefits, vouchers or other promotions. Each promotion may be subject to separate eligibility requirements, availability, limits, expiry dates and renewal conditions displayed with the offer.
When a promotional or free period ends, the subscription may continue at the price and billing cycle disclosed at enrolment unless the merchant cancels in accordance with the applicable Merchant & Seller Agreement or subscription terms.
12. Third-Party Services and Links
The Website may link to or integrate with third-party websites, applications, payment providers, maps, social-media services, booking tools, analytics services or app stores. Third-party services are governed by their own terms and privacy practices.
A link or integration does not mean that NearU controls or endorses the third party. To the maximum extent permitted by law, NearU is not responsible for third-party content, availability, security, products, services or acts and omissions.
13. Availability, Changes and Suspension
NearU may change, update, suspend, restrict or discontinue all or part of the Website, its content or features where reasonably necessary for maintenance, security, legal compliance, operational requirements or business development.
NearU may block or restrict access where it reasonably suspects unlawful activity, abuse, security risk, automated extraction, interference or a breach of these Terms.
14. Privacy and Cookies
NearU's collection, use, disclosure, storage and protection of personal data through the Website are described in the Website Privacy Policy. The use of cookies and similar technologies is described in the Cookie Policy. These documents should be read together with these Terms.
Where consent is required for non-essential cookies, direct marketing or another activity, NearU will seek that consent through the relevant form, preference setting or consent mechanism.
15. Security and Reporting Concerns
You are responsible for taking reasonable security precautions when accessing the Website, including protecting your devices and login credentials. You must notify NearU promptly if you suspect unauthorised access or misuse connected with the Website or Merchant Portal.
Suspected security vulnerabilities, fraudulent activity, harmful content or other security concerns should be reported to support@nearu.community. You must not publicly disclose or exploit a suspected vulnerability before NearU has had a reasonable opportunity to investigate and address it.
16. Disclaimers
To the maximum extent permitted by applicable law, the Website is provided on an "as is" and "as available" basis. NearU does not give any express or implied warranty that the Website will always be available, uninterrupted, secure, error-free or free of harmful components, or that Website information will always be complete, accurate or current.
Nothing in these Terms excludes any warranty, right or remedy that cannot lawfully be excluded or limited.
17. Limitation of Liability
To the maximum extent permitted by applicable law, NearU will not be liable for indirect, incidental, special or consequential loss, loss of profits, revenue, business, opportunity, goodwill or data arising solely from use of, reliance on or inability to access the public Website.
NearU's total aggregate liability arising solely from use of the public Website will not exceed S$100, unless a different limit is required by applicable law. This limit does not apply to liability that cannot lawfully be excluded or limited, including liability arising from fraud or fraudulent misrepresentation.
Different liability provisions apply to Merchant Portal services, consumer transactions and other NearU services under the relevant agreements governing those services.
18. Indemnity
To the maximum extent permitted by applicable law, you agree to indemnify, defend and hold harmless NearU Pte. Ltd., its related corporations, directors, officers, employees, contractors and agents from and against all claims, demands, proceedings, investigations, liabilities, losses, damages, penalties, fines, settlements, costs and expenses, including reasonable legal and professional fees, arising from or relating to:
- your unlawful, fraudulent or unauthorised use of the Website;
- your material breach of these Terms;
- any information, document, content or material submitted by you through the Website that is false, misleading, unlawful, defamatory or infringes the rights of another person;
- your infringement of any intellectual property, privacy, confidentiality or other third-party right;
- your introduction of malware, harmful code or security threats;
- any attempt by you to gain unauthorised access to the Website, Merchant Portal, NearU systems or data; or
- any claim brought by a third party arising from your acts or omissions in connection with the Website.
Your obligation to indemnify NearU will not apply to the extent that the relevant claim, loss or liability was directly caused by NearU's fraud, fraudulent misrepresentation, wilful misconduct or liability that cannot lawfully be excluded or limited.
NearU may assume control of the defence or settlement of any claim covered by this clause. You must provide reasonable cooperation and must not settle any claim in a manner that imposes liability, admission or obligation on NearU without NearU's prior written consent.
This indemnity survives termination of these Terms or cessation of your use of the Website.
19. Electronic Communications
NearU may communicate with you electronically in connection with Website enquiries, registration, security, legal notices and service administration. Electronic communications may be sent to the email address or contact details you provide.
20. Amendments to These Terms
NearU may amend these Terms from time to time to reflect changes to the Website, its services, law, regulation or business practices. The updated version and effective date will be published on the Website.
Changes apply from the stated effective date. Continued use of the Website after that date constitutes acceptance of the revised Terms. Material changes affecting a registered merchant's contractual rights will be handled in accordance with the Merchant & Seller Agreement.
21. General Provisions
21.1 Entire Agreement
These Terms, together with the Website Privacy Policy, Cookie Policy and any terms expressly incorporated into a particular Website feature, form the agreement governing use of the public Website.
21.2 Severability
If any provision is invalid, unlawful or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect.
21.3 No Waiver
A failure or delay by NearU to exercise a right does not waive that right.
21.4 Assignment
You may not assign or transfer your rights under these Terms without NearU's written consent. NearU may assign or transfer its rights and obligations as part of a restructuring, financing, merger, acquisition or transfer of its business or assets.
21.5 No Partnership or Agency
Nothing in these Terms creates a partnership, joint venture, employment, franchise or agency relationship between you and NearU.
21.6 Headings
Headings are for convenience only and do not affect interpretation.
22. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Singapore. The courts of Singapore have exclusive jurisdiction over disputes arising out of or in connection with these Terms or use of the Website, subject to any rights that cannot lawfully be excluded.
